Terms of Service

PLEASE READ THESE TERMS OF SERVICE ("Terms") CAREFULLY. These Terms constitute a legally binding agreement between you and Portfo ("Portfo," "we," "us," or "our"), based in Toronto, Ontario, Canada, governing your access to and use of portfo.dev and related services (collectively, the "Service"). By creating an account, accessing, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

1. Description of Service

Portfo provides tools to build a portfolio of your projects, publish your work ("User Content"), and discover the work of other users through the Discover feature. An account is required to publish User Content or interact with other users' content.

2. Eligibility and Account Registration

You must be at least 16 years of age to create an account. By creating an account, you represent and warrant that you meet this requirement and that all information you provide is accurate and current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.

3. Acceptable Use

You agree not to, and not to permit any third party to:

• Collect, scrape, or export other users' content or profile information through automated means without our prior written permission.
• Transmit unsolicited advertising, spam, or harass, threaten, or send unwanted communications to other users.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Upload or post content that you do not have the right to share, or that infringes the intellectual property or other rights of any third party.
• Reverse engineer, decompile, or use the Service to build or train a competing product or service using data derived from the Service.
• Interfere with or disrupt the integrity or performance of the Service or attempt to gain unauthorized access to it.

These restrictions apply to all users of the Service, including any organization, employer, or hiring accounts we may offer in the future. We reserve the right to investigate and take appropriate action against any user who violates this section, including removal of content and suspension or termination of accounts.

4. User Content and License Grant

As between you and Portfo, you retain all right, title, and interest in and to the User Content you create and upload to the Service, including any associated intellectual property rights. Portfo does not claim ownership of your User Content.

By submitting User Content to the Service, you grant Portfo a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that User Content solely for the purpose of operating, providing, and promoting the Service, including displaying it on your portfolio page and, where applicable, in Discover. This license terminates when you remove the applicable User Content or close your account, except that copies may persist for a limited time in routine backups.

You are solely responsible for your User Content and represent that you have all necessary rights to grant the license set out in this section and that your User Content does not violate the rights of any third party or any applicable law.

5. Visibility and Discoverability

Your Privacy & Visibility settings control whether your posts appear in Discover and whether your profile is discoverable by employers and hiring partners, and may be changed at any time. Our Privacy Policy describes these controls, and our handling of related information, in greater detail.

6. Third-Party Services

The Service relies on third-party infrastructure providers, including Supabase, Inc., to host, store, and secure data, including uploaded files. We are not responsible for the availability, performance, or acts or omissions of third-party providers, except as required by applicable law.

7. Suspension and Termination

You may delete your account at any time from your settings. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for Portfo, or engaged in conduct that harms the Service or other users. Sections of these Terms that by their nature should survive termination (including Sections 4, 8, 9, 10, and 12) will survive.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT WILL BE PRESERVED WITHOUT LOSS. TO THE EXTENT LOCAL BROWSER STORAGE IS USED TO STORE PORTIONS OF YOUR CONTENT, YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF THAT CONTENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PORTFO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE. NOTHING IN THESE TERMS LIMITS ANY RIGHTS YOU MAY HAVE AS A CONSUMER UNDER APPLICABLE LAW THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED.

10. Indemnification

You agree to indemnify and hold harmless Portfo and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms or applicable law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any dispute arising out of or relating to these Terms or the Service.

12. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Portfo regarding the Service and supersede any prior agreements. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.

13. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will post the revised Terms here with an updated date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
